Welcome to the websites, applications, and digital platforms of Palo Healthcare LLC and its affiliates and subsidiaries (collectively, “Palo,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of all websites, mobile applications, portals, and pages owned or operated by Palo (collectively, the “Palo Sites”).

By accessing or using the Palo Sites, you agree to be legally bound by these Terms.

1. General Use and Restrictions

By accessing and using the Palo Sites, you agree to comply with these Terms on your own behalf and on behalf of any entity you represent (“You”). Palo grants You a limited, revocable, non-exclusive right to use the Palo Sites solely for lawful purposes and in compliance with these Terms.

If You do not agree to these Terms, You must immediately discontinue use of the Palo Sites.

You represent that you are at least 18 years old and that all information You provide is true, accurate, and current. You are responsible for all actions taken under your account, including those of employees and agents.

2. No Guarantee of Employment

Palo does not guarantee job placement, employment, or contract opportunities through the Palo Sites. Use of the Palo Sites does not create an employment, agency, or fiduciary relationship between You and Palo.

3. Restricted Areas; Registered Users

Certain portions of the Palo Sites require registration (“Restricted Sites”). Access is limited to authorized users with legitimate business purposes (“Registered Users”).

All content within Restricted Sites is deemed Confidential Information. You may only access Restricted Sites for Permitted Uses directly related to an actual or prospective business or employment relationship with Palo.

You are responsible for safeguarding login credentials and must immediately notify Palo of any unauthorized use. Palo may suspend or terminate accounts at any time without notice.

4. Push Notifications

If you download a Palo mobile application, you may receive push notifications. These may include alerts, badges, banners, and sounds. You may disable notifications through your device settings. Carrier fees may apply. Palo may collect data related to your use of notifications.

5. Confidential Information

Confidential Information includes all non-public business, personal, healthcare, financial, credentialing, and operational data accessed through the Palo Sites.

You agree to:

  • Use Confidential Information only for Permitted Uses
  • Restrict access to authorized personnel
  • Apply reasonable security safeguards
  • Immediately notify Palo of any breach or suspected breach

If disclosure is legally required, You must notify Palo in advance so Palo may seek protective relief.

6. Intellectual Property Rights

All content on the Palo Sites, including software, design, text, graphics, trademarks, logos, and databases, is owned or licensed by Palo Healthcare LLC.

You may not copy, distribute, modify, license, sell, reverse engineer, or commercially exploit any portion of the Palo Sites without written permission.

7. Compliance With Laws

You agree to comply with all applicable local, state, federal, and international laws, including export control laws, while using the Palo Sites.

8. Arbitration and Class Action Waiver

Any dispute arising from or related to your use of the Palo Sites shall be resolved exclusively by binding arbitration under the laws of the State of New York, not in court.

Covered claims include contract, tort, statutory, discrimination, wage, privacy, retaliation, and confidentiality claims under applicable federal and New York law.

You expressly waive your right to:

  • A jury trial
  • Participate in class, collective, or representative actions

Claims must be brought only on an individual basis.

9. Prohibited Uses and User Content

You may not use the Palo Sites to transmit content that:

  • Violates any law or regulation
  • Is false, defamatory, obscene, harassing, or discriminatory
  • Infringes intellectual property rights
  • Distributes spam or malware
  • Interferes with security or system performance

By submitting content, you grant Palo a worldwide, perpetual, royalty-free license to use, reproduce, and distribute such content.

Palo reserves the right to remove any content at its discretion.

10. Privacy Policy

Your use of the Palo Sites is subject to monitoring for security and compliance purposes. Please review Palo’s Privacy Policy for details regarding data collection and use.

11. Copyright Complaints

If you believe your copyrighted work has been improperly used, notify Palo in writing using the contact information below.

12. External Links

The Palo Sites may contain links to third-party websites. Palo does not control or endorse third-party content and assumes no responsibility for it.

13. Disclaimer of Warranties

THE PALO SITES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PALO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

PALO DOES NOT GUARANTEE THAT THE SITES WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

15. Indemnification

You agree to indemnify and hold harmless Palo, its members, officers, employees, and agents from any claims arising from:

  • Your use of the Palo Sites
  • Your violation of these Terms
  • Your violation of any law or third-party right

16. Term and Termination

These Terms remain in effect until terminated. Palo may suspend or terminate access at any time without notice. Upon termination, you must destroy all Confidential Information in your possession.

18. Miscellaneous

  • These Terms are governed by the laws of the State of New York
  • No partnership, agency, or employment relationship is created
  • You may not assign these Terms without written consent
  • Palo may seek injunctive relief for violations
  • These Terms constitute the entire agreement
